Course Description

The leading governance program for board members and the award-winning Effective Board Member (EBM) Program is an accredited training program designed to equip individuals who want to become more effective in the boardroom with the knowledge and tools to enhance and embed their skills. The Program is aimed at executive directors from all sectors and those just entering the world of governance. Delivered using practical and theoretical techniques including The Board Game – a unique, interactive, educational tool and face-to-face interviews with leading and experienced experts.

Course Objective

The main objective of the program is to ensure participants have a good working knowledge of the key principles of good corporate governance covering the history, governance codes and effective governance frameworks. The course has been designed to ensure that all the fundamental concepts are taught and participants are given the opportunity to practise and reflect on how they can apply what they have learned in their working environment. By completing the program whether supporting the board or acting as a board member participants should be more effective in carrying out their role.

Course Outcome

The EBM Program provides participants with the skills required to be effective in the board room by completing the program they will understand;

• what governance is, why it is important, key strategic concepts and able to discuss corporate failures and mistakes to avoid,
• what the role, duties and conduct of an effective board member is and what the role of the board is,
• the structure design of an effective board governance framework,
• what creates dysfunctional board behaviour,
• what are the type of questions you should ask as a non-executive to effectively challenge executives and hold leadership to account.

Course Pre-requisite

It would be helpful if you have worked in and/or working in a leadership position in an organization and have an understanding of what corporate governance is.

Follow-Up and Accreditation/Certification Requirement

(1) We provide certificates and accreditation for all those that complete:

• two written reflective assignments of 1000 words each,
• one essay (approximately 350 words) and
• a competency based assessment.

2) The course will be delivered on the 12th and 13th June face to face and there will be a follow up workshop of 2 hours delivered virtually.

3) All assignments are to be completed by the end of July.

4) This program is delivered and accredited by RSM.

Meet the Instructor: Dr. Karl George MBE

Karl George MBE is a thought leader and internationally established expert in governance. Karl is a visiting professor and has an honorary doctorate, is an established author and conference speaker. He is a Partner and head of Governance at the leading professional services firm RSM*. Creator of The tgf Governance Code, The RACE Equality Code and the Effective Board Member Programs. He works with boards and senior executives in the private, public and voluntary sectors and has over thirty years’ combined experience in accountancy, business and strategic development. Karl a qualified accountant and Fellow of the global international body for governance practitioners CGI: The Chartered Governance Institute. He has developed a unique governance framework and quality mark that was endorsed by the late Sir Adrian Cadbury. Karl’s latest book “Governance 3.0” provides an international perspective on modern governance and amongst his other books the amazon best seller, “The Effective Board Member “ talks about what every board member should know.

Karl has held several board positions across a number of sectors over the last two decades and is a current board member of the Greater Birmingham Chambers of Commerce and founding Chair of the West Midlands Branch of CGI.  An experienced chair and committee member, Karl has led organizations through mergers, developing and redefining corporate strategy to completely redesigning governance structures and has acted as a consultant to chairs and CEOs of companies of all sizes. The Effective Board Member Programs written by Karl, have been delivered across the world including through partners such as The Professional Footballers’ Association (PFA), PricewaterhouseCoopers (PwC) and RSM UK.
